Vopak North America, Inc. /dba/ Vopak Americas seeks Corporate Counsel in Houston, TX. Provide legal advice and support to Americas Division with operating companies in North and South America (U.S., Canada (Quebec area), Mexico, Panama, and Colombia), to determine strategies for short and long term objectives, focusing on commercial, procurement, construction, M&A, real estate, environmental, and litigation, and ensure compliance with antitrust, anticorruption, economic sanctions, data privacy, etc. Apply knowledge of both common and civil law systems to draft and negotiate contracts and agreements, including storage contracts, business development related contracts (confidentiality agreements, letters of intent, term sheets, etc.), land leases, construction (EPC) contracts, M&A or joint-venture related contracts, procurement contracts, and consulting agreements, in English and Spanish. Follow relevant legal developments; draft and monitor legal policies and guidelines to ensure that the operating companies comply with the numerous and complex laws and regulations of the regions in which they operate. Draft corporate governance documents. Prevent and resolve legal conflicts with third parties and, if necessary, represent or have the organization represented at legal procedures in order to ensure the proper outcome while keeping emphasis on image and commercial interests of Vopak. Handle claims and complaints and inform relevant stakeholders within Vopak to avoid similar claims or complaints in the future and to minimize adverse consequences for Vopak. Play an active role in choosing and directing external counsel for North America and South America. Use fluency in written and spoken Spanish to communicate with external counsel in Mexico, Panama, and Colombia. Serve as Data Privacy Officer to ensure compliance with internal Data Privacy Code and applicable US and international privacy laws. Minimal travel (<10%) throughout North and South America.

Requirements: JD from ABA accredited law school or foreign equivalent, and 4 years' experience as a licensed attorney drafting, reviewing, analyzing, and interpreting contracts. Experience must include: 2 years practicing civil law in Latin America at law firm or in-house legal department reviewing transactional contracts, including commercial, procurement and confidentiality agreements, and 2 years practicing at law firm or in-house legal department in the following areas: mergers & acquisitions, joint ventures, commercial contracts, EPC contracts, data privacy, and compliance.
